Transfers must be in **dematerialized** form only. - Dematerialization procedure: see **Demat** section below and the Demat section of the [FAQ](/faq/). **Holding shares in physical form** - You may continue to hold physical shares, but **cannot transact** on physical holdings. Dematerialization is strongly advised due to loss/damage risk. **Old purchase — shares not transferred in your name** - A transfer deed is valid for **one year** from the presentation date on the ROC stamp (or register closure date after presentation, whichever is later). - From 1 April 2019, physical transfers require dematerialization first. Deeds lodged before the deadline but returned for deficiency may be re-lodged after 1 April 2019. **Death of one joint holder (surviving joint holders)** - Submit attested copy of **death certificate**, share certificates, and prescribed **transmission form** (from Link Intime / Forms section), signed by survivors per registered specimen signatures. - Death certificate attestation: Notary Public or Bank Manager under official seal with full details. - Company/RTA issues **Letter of Confirmation (LOC)** after deletion; survivors must submit **DRF** to Depository Participant (DP) within **120 days** for demat. - For demat holdings: contact your DP. **Adding another joint holder when deleting deceased name** - **Not permitted.** Surviving joint holder(s) may only delete the deceased name; cannot add a new joint holder on the same certificate. **Legal heir / executor — sole holder deceased** - Submit certificates with attested **Succession Certificate**, **Probate of Will**, or **Letter of Administration**, plus prescribed transmission form from RTA, signed by legal heir(s)/executor(s) with bank manager verification of signatures. - Legal document attestation: Notary Public. Additional documentation may apply by holding size/type. - For demat holdings: contact your DP. **Joint holder included for convenience — transfer per Will to sole heir** - Under law, joint holders have **indivisible ownership**. The Company cannot determine why a name was included. Under the Articles, **surviving joint holders** are the only persons recognised as having title — not nominees or heirs alone while a joint holder survives. --- ## Investor FAQ — Demat and remat **Benefits of dematerialization** - Reduces paperwork; faster trading; eliminates risks of loss, theft, forgery, and damage; easier portfolio monitoring; automatic credit on mergers; **no stamp duty** on transfer; optional but required to sell/transfer. - Purchases are delivered in **demat form only**. - **SEBI Gazette Notification** SEBI/LAD-NRO/GN/2022/66 (24 January 2022): listed companies must issue securities in **demat only** for investor service requests (duplicate certificates, transmission, transposition, exchange/subdivision/consolidation, etc.). - Depositories: **NSDL** and **CDSL** under the Depositories Act, 1996. **How to demat shares** 1. Confirm credit of shares in your demat account with DP. **Corporate benefits after demat** - Dividend, interest, bonus, rights, etc. paid to beneficial owners per RTA records; dividend/interest to bank account; rights/bonus per issue terms and investor option. **Rematerialization** - Submit **Rematerialisation Request Form (RRF)** through DP; Company issues physical certificates for shares rematerialised. **Trading in electronic form** - Buy/sell via broker and DP; settlement faster; no transfer deeds; not routed through Company; corporate benefits on record date per Benpos. **Dividends, annual report, AGM after demat** - DP provides **Benpos** on record date; dividend credited to bank linked to demat account. Rights same as physical holders (annual report, AGM attendance). **Demat charges** - Charged by DP; borne by shareholder — contact your DP. **Fraud / disputes** - Physical risks (signature mismatch, postal loss) largely absent. Ltd.** All joint holders must sign. **Demat:** nomination with your **DP**. Multiple nominations per folio/DP Client ID available. **Share certificates with nomination form** - **Not required** at time of nomination registration. **Joint holders vs nominees** - Joint holders are **not** nominees; they have joint rights. On death of one joint holder, **survivors** are recognised holders — not the nominee. **Change or revoke nomination** - Fresh nomination or revocation via **Form SH-14**. Surviving joint holder(s) may make fresh nomination after a joint holder’s death. **Opt out** - **Form ISR-3** — Declaration to opt out of nomination. **Demat / remat effect on nomination** - Nomination is **cancelled** on demat/remat; file fresh nomination with DP or Company as applicable. **Legal position of nominee on shareholder death** - **Sole holder:** nominee excludes other legal heirs/beneficiaries for transmission — Company transmits only to nominee if valid nomination. - **Joint holders:** nomination applies only after death of **all** joint holders; if one joint holder dies, shares devolve on **survivors**, not nominee. **Nominee procedure for physical shares** - Written notice, original certificate(s), attested death certificate, attested PAN and address proof; scrutiny by Link Intime/Company; transmission and endorsed certificates returned. **Nomination for demat shares** - Submit nomination to **DP**, not Company. Physical nomination: **Form SH-13** to Link Intime. --- ## Investor FAQ — Unclaimed dividend and shares (IEPF) **Dividend not received** - Write to Company Investor Service with folio/Client ID details; duplicate warrant if unpaid in Company records. **Duplicate dividend warrant** - Not issued during validity of original. After expiry, if still unpaid per bank statement, duplicate issued. **Transfer to IEPF — dividend** - Unclaimed dividend/interest/principal/maturity on deposits/debentures after **7 years** from due date → **Investor Education and Protection Fund (IEPF)** under Companies Act. **Transfer to IEPF — shares** - Shares transferred to IEPF where dividend unclaimed for **7 consecutive years** (Section 124(5)/(6), Companies Act 2013 and IEPF Rules; Second Amendment Rules 2017). Company cancels original certificate, issues duplicate, transmits to IEPF demat account. Original certificate cancelled and non-negotiable. **No claim lies against Company** after transfer to IEPF. **Claim from IEPF** - Online **Form IEPF-5** at [www.iepf.gov.in](https://www.iepf.gov.in) plus physical copy signed per specimen signature to Company Nodal Officer with documents in Form IEPF-5. - Subsequent corporate benefits also credit to IEPF; claim from IEPF Authority. - Additional documents may be required (affidavit, gazette, ID/address, PAN, bank details) for signature mismatch, name difference, enhanced due diligence, etc. - Name mismatch PAN vs certificate: attested copy of valid passport, marriage certificate, gazette for name change, or Aadhaar. --- ## Investor FAQ — Tax on dividend **Resident individual — TDS on dividend** - From **1 April 2020**, dividend taxable in hands of shareholder. If dividend **exceeds ₹5,000** in a financial year: **TDS @10%** if PAN updated with depository; **20%** if PAN not updated. No TDS if dividend ≤ ₹5,000 to resident individual. **Resident non-individual** - Entire dividend subject to TDS **without threshold** — 10% with PAN (not “specified person” u/s 206AB), else 20%. **Surcharge and cess (resident)** - TDS rate **not** increased by surcharge/cess for resident shareholders. **Nil tax liability — Form 15G / 15H** - Submit **Form 15G** (dividend) or **15H** (interest on debentures/FD) if estimated tax nil. Physical + KYC compliant: **Form ISR-1** signed by all holders with bank details; cancelled cheque or bank-attested passbook/statement (first and last page, transaction not older than 3 months). Bank manager attestation with name, employee code, designation, address, stamp, date. - **Demat:** update with **DP** only. **Authorise bank or third party to receive dividend** - **Not permitted** for physical holdings — dividend only to registered holder per folio. **Demat bank details** - Company pays per DP records; **cannot** change demat bank details at Company level. **NECS (National Electronic Clearing Service)** - Direct credit to bank — avoids loss/interception of warrants; faster payment. Available **pan-India** per RBI. --- ## Investor FAQ — Miscellaneous ### Transposition - **Physical:** Prescribed transposition form from Link Intime, signed by all joint holders with certificates. **Demat:** Form **OA** with DRF to DP for desired name order. - **Transposition cum demat** if certificate name order differs from beneficiary account — submit DRF + Transposition Form to DP. - Enhanced due diligence may require affidavit, gazette, ID, PAN, bank proof. Name mismatch: passport, marriage certificate, gazette, or Aadhaar. ### Loss of share certificate(s) - Notify Company immediately. For duplicate: **Form ISR-4** (undertaking to demat within **120 days** of LOC), affidavit, indemnity bond, **FIR/police complaint/court order** (not required if market value ≤ ₹5 lakh), newspaper advertisement (not required if ≤ ₹5 lakh). Overseas: notarised/apostilled self-declaration with passport and overseas address proof. - Cannot issue duplicate if shares already transferred/dematerialised. - If original found after reporting loss: surrender to Company/RTA if duplicate already issued; if before duplicate process, inform RTA to remove caution. ### Consolidation / split - **SEBI/LAD-NRO/GN/2022/66** (24 January 2022): investor service requests including subdivision/consolidation processed in **demat only**. - Split/consolidate: certificates + **Form ISR-4** signed by all holders → LOC → demat within **120 days** via DP. - Merge folios: same name/order/address; **Form ISR-4** → LOC → demat within 120 days. - **Merger (e.g. legacy IHCL certificates):** Forward pre-merger certificates to Link Intime with **Form ISR-4** for LOC if not already exchanged. ### Change of address or status - **Physical + KYC:** **Form ISR-1** signed by first holder with government ID/address proof (CML, passport, lease/sale agreement, driving licence, utility bills ≤3 months old, etc.). Spouse address proof requires additional ID of holder. - Only **one address** per folio. Change requires first holder or all holders’ signatures. - **Demat:** change address with **DP**. - **Resident to non-resident:** RBI permission through banker for repatriation; or undertaking if non-repatriation. Use **NRO** account for dividend.
